Terms of Service

1. Agreement
These Terms of Service ("Terms") form a legally binding agreement between you (the "Customer") and LAMA ERP ("we", "us") governing your use of the LAMA ERP software and this website. By downloading, installing, or using LAMA ERP, you agree to these Terms.
2. Licence grant
Subject to payment of the applicable subscription fee, we grant you a non-exclusive, non-transferable licence to:
- Install and use LAMA ERP on the number of server instances ("sites") permitted by your plan
- Allow unlimited users within your organisation to access the software on those instances
- Receive software updates released during your active subscription period
This licence does not permit you to:
- Redistribute, sell, sublicense or resell the software
- Remove or alter copyright notices or licence keys
- Reverse-engineer the software except as permitted by applicable law
- Use the software to provide a hosted service to third parties
3. Trial licence
We offer a 30-day free trial. Trial installations are fully functional. At the end of the trial period, the software will enter a read-only grace period of 14 days, after which licence verification will fail until a paid subscription is activated.
4. Subscription and payment
Subscriptions are billed monthly or annually in advance. All prices are in GBP and exclude VAT (UK VAT will be added at the prevailing rate for UK customers). Payments are processed securely via Stripe.
We may change subscription prices with 30 days' notice. Price changes will not affect you until your next renewal. You may cancel before renewal to avoid the new price.
5. Cancellation and refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused portions of a billing period, except where required by UK consumer law.
Because LAMA ERP is self-hosted, cancellation does not delete your data. Your installation will continue to run in read-only mode for 14 days after cancellation, then the licence will become inactive.
6. Intellectual property
LAMA ERP software remains our intellectual property at all times. The licence granted in clause 2 does not transfer ownership of any intellectual property to you. Your data (stored in your own database) is entirely yours.
7. Warranties and liability
We warrant that LAMA ERP will perform materially as described in our documentation during your active subscription. We do not warrant that the software will be error-free or uninterrupted.
To the maximum extent permitted by UK law, our total liability to you for any claim arising from these Terms or your use of the software is limited to the fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, consequential or special losses including lost profits, lost data or business interruption, even if we have been advised of the possibility of such losses.
8. Support
Email support is included on all paid plans. We aim to respond within 1 business day. Support covers usage questions, installation assistance, and bug reports. We do not provide custom development, data migration, or on-site support under standard plans.
9. Updates and changes
We may update the software at any time. Updates are delivered through the built-in update system and are free for all active subscribers. We will endeavour to maintain backwards compatibility and will give advance notice of any breaking changes.
We may update these Terms from time to time. We will notify active customers of significant changes by email. Continued use of the software after the effective date of changes constitutes acceptance.
10. Termination
We may suspend or terminate your licence immediately if you breach these Terms (including non-payment), misuse the software, or engage in fraudulent activity. We will attempt to give notice before termination where practical.
11. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
